Terms and Conditions
Overview
These Terms and Conditions (“Terms”) govern your use of our website and the purchase of products or services, whether you are a business (“B2B”) or a consumer (“B2C”). By accessing or using our website and services, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, please do not use our services.
1. General Information
Nuvik (“we”, “us”, or “our”) is a manufacturer that supplies branded products through resellers, distributors, and retailers (B2B). We take pride in offering high-quality products, and our Terms and Conditions ensure both our business partners and customers are treated fairly.
2. B2B (Business-to-Business) Sales
2.1 Reseller Agreements
We sell our products through authorised resellers. As a reseller, you agree to comply with our specific reseller terms, which may include pricing policies, minimum order quantities, and product marketing guidelines. These agreements are made separately between us and each authorised reseller.
2.2 Pricing and Payment
Products for resale may vary based on your reseller agreement and order volume. Payments must be made in accordance with the payment terms outlined in your agreement. Late payments may incur additional fees or interest charges.
2.3 Product Availability and Delivery
Product availability is subject to stock levels and production capacity. We make every effort to fulfil orders in a timely manner, but delivery times may vary. Resellers are responsible for ensuring they meet their own customer delivery commitments.
2.4 Limitation of Liability
We will not be liable for any loss of profits, business interruption, or indirect damages arising from delays, defects, or other issues in relation to B2B transactions. Our liability is limited to the value of the products purchased.
3. B2C (Business-to-Consumer) Sales
3.1 Ordering Products
We supply our products to consumers exclusively through authorised resellers. This protects our reseller relationships and ensures consistent product availability and service standards.
3.2 Consumer Rights
Under UK consumer law, your contract of sale is with the retailer from whom you purchased the product. Any requests regarding refunds, returns, or exchanges must be directed to that seller in line with their policies.
3.3 Consumer Support
As the manufacturer, we are not responsible for resolving consumer disputes but are available to provide product-related support where needed. Our team can assist with technical information, product guidance, or warranty-related enquiries, where appropriate. For assistance, please contact us via phone, email, web form, or mail.
4. Intellectual Property
All content on our website, including but not limited to logos, images, text, and product designs, is the intellectual property of UltraGrime or its licensors and is protected by copyright law. You may not use, copy, modify, or distribute any content without our prior written consent.
5. Privacy and Data Protection
We are committed to protecting your privacy. Our Privacy Policy outlines how we collect, store, and use your personal information. By using our website or purchasing products, you consent to the collection and use of your data in accordance with our Privacy Policy.
6. Liability and Indemnity
6.1 Limitation of Liability
We are not responsible for any indirect, special, or consequential damages arising from your use of our products or services. Our total liability, whether in contract, tort, or otherwise, will be limited to the amount you paid for the products or services in question.
6.2 Indemnity
You agree to indemnify and hold UltraGrime, its employees, and agents harmless from any claims, losses, damages, or costs arising from your misuse of our products or services, violation of these Terms, or infringement of any third-party rights.
7. Governing Law and Dispute Resolution
These Terms are governed by the laws of Great Britain & Northern Ireland, and any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts of Great Britain & Northern Ireland.
For any disputes between us and a consumer (B2C), we adhere to the dispute resolution procedures outlined under applicable consumer protection laws, including the option for alternative dispute resolution (ADR).
8. Changes to Terms and Conditions
We reserve the right to update or change these Terms at any time. Any changes will be posted on this page with an updated revision date. It is your responsibility to review these Terms periodically for updates.
